Terms and Conditions for Alcosphere.ge electronic commerce platform usage

1. General Provisions
   • 1. These Terms and Conditions constitute the agreement of the mandatory legal force (hereinafter referred to as Alcosphere.ge platform Terms and Conditions, Terms and Conditions or Alcosphere.gep latform usage agreement) executed between you (hereinafter you, the customer, the registered customer or buyer proceeding from the context), which governs and regulates the Terms and Conditions for Alcosphere.ge electronic commerce platform usage.
     1.2. Giving the remote consent for the Terms and Conditions the electronic way and/or possessing access to Alcosphere.ge platform in any form and by any means, Alcosphere.ge platform usage, including your  account registration at Alcosphere.ge platform, orders placement at Alcosphere.ge platform and/or products/services purchase through Alcosphere.ge platform is considered and equal to your consent for these Terms and Conditions.
     1.4. Stating consent for the Terms and Conditions the customer confirms that she/she has read and recognized the Terms and Conditionsand undertakes to comply with any and all conditions provided for by the Terms and Conditions, otherwise the customer shall terminate Alcosphere.ge platform or its products/services usage.
     1.5. When possessing access to Alcosphere.ge platform, use that and/or products/services purchase through Alcosphere.ge platform version of the Terms and Conditions shall be valid, which will be placed at Alcosphere.ge platform when use or purchase is made.
     1.6. Alcosphere.ge is authorized to make any alterations and amendments in the Terms and Conditions at any time unilaterally,  by making public statement/placement at  Alcosphere.ge platform, without any prior notification and additional consent given by you.
     1.7. If upon alterations and amendments made in the Terms and Conditions you continue to use Alcosphere.ge platform, which inter alia implies access to Alcosphere.ge platform through any means, Alcosphere.ge platform services use, orders placement at the platform and/or products/services purchase through Alcosphere.ge platform services use you agree and recognize all the alterations and amendments made in the Terms and Conditions.
     1.8. Processing of your personal data obtained from you when using  Alcosphere.ge platform  from you or from any third parties, shall be regulated by Alcosphere.ge platform according to confidentiality policy Alcosphere.ge/Privacy placed  at www.Alcosphere.ge (hereinafter confidentiality policy), which constitute the integral part of Alcosphere.ge platform Terms and Conditions. When stating consent the customer at the same time agrees for the confidentiality policy.
     1.9. If the  Terms and Conditions placed at Alcosphere.ge platform, besides Georgian language, are available in another language, in the case of any discrepancies between the version of the Terms and Conditions made in another language and those made in Georgian priority will be given to the Terms and Conditions test made in Georgian.
     1.10. Definitions and/or words  applied in the Terms and Conditions in singular  may be perceived in plural (or visa versa) if otherwise is not defined under the Terms and Conditions context. Pronouns applied in masculine gender may imply feminine gender and visa versa in the case translation of the Terms and Conditions is done to the language in which pronouns defining gender are applied).
     1.11. Access to Alcosphere.ge platform is free of charge for any person possessing accees to Internet.
     1.12. Access to Alcosphere.ge platform and usage of that for any person is authorized for personal and lawful purposes only.   Alcosphere.ge platform usage for direct or indirect commercial purposes is prohibited for any customer and/or another person.
     1.13. Alcosphere.ge does not give give warranty that Alcosphere.ge platform or its any component, including Alcosphere.ge platform content as well as any product/service offered through Alcosphere.ge platform will be available always for the customer and that no obstruction, restriction or deficient may occur from time to time. 
     1.14. Alcosphere.ge does not bear any liability before you if Alcosphere.ge platform or its any component, including Alcosphere.ge platform content as well as any product/service offered through Alcosphere.ge platform by any reason will not be available always for the customer at any time or for any term.

1.15. Alcosphere.geis authorized without any prior notification or your consent to suspend, revoke, terminate and/or modify  Alcosphere.ge platform or its any part, Alcosphere.ge platform any function, products/services purchase or usage Terms and Conditions, whih are offered through Alcosphere.ge platform at any time.
1.16. Alcosphere.ge is authorized to prohibit/restrict access to Alcosphere.ge platform for any customer at any time, e.g. Alcosphere.ge may cancel any order, disable or cancel customer’s any registered account if a person violates applicable laws of Georgia and or requirements of these Terms and Conditions.
1.17. Alcosphere.ge is authorized but it shall not control or verify content of any notification, comment or any other information placed at Alcosphere.ge platform by any entity other than Alcosphere.ge  or that created, sent and/or received  through Alcosphere.ge platform.

2. Definitions interpretation
 
Definitions and interpretations applied in these Terms and Conditions are of the meaning indicated below except the cases when otherwise is not determined proceeding from the Terms and Conditions context:

2.1. Alcosphere.ge or we for the Terms and Conditions purposes implies the following entity: Alcosphere.ge LTD registered according to laws of Georgia, identification code: 432553266,  address: Georgia, Kaspi, Parnavaz St. 10, apt. 7.
2.2. Alcosphere.ge electronic commerce platform or website Alcosphere.ge, its sub-sites, mobile version and/or mobile application and all other websites, websites mobile versions, mobile applications, software, internet portals, electronic commerce platforms,  which are owned, managed, controlled and/or access to which is provided by Alcosphere.ge and which at the same time refer to these Terms and Conditions. 
2.3. Alcosphere.ge electronic commerce platform usage Terms and Conditions, Alcosphere.ge platform usage agreement or the Terms and Conditions – these  Terms and Conditions together with distant purchase contract, any other term, condition and/or agreement, which define and regulate  Alcosphere.ge platform accessibility and usage Terms and Conditions (including those regulating services usage offered through Alcosphere.ge platform and/or services purchase through Alcosphere.ge platform), which under reference made by these Terms and Conditions are considered integral part of the Terms and Conditions. 
2.4.  Product or products are any products/services placed or offered through Alcosphere.ge platform for sale purpose. 
2.5. The customer  is any physical person who is 18 years of age or more possessing access to Alcosphere.ge platform/using Alcosphere.ge platform who complies with requirements provided for by these Terms and Conditions and wishes to use services offered offered through Alcosphere.ge platform and/or purchase products placed at Alcosphere.ge platform.
2.6. The customer implies either registered or non-registered customer, including a buyer if otherwise is not defined by the context content. 
2.7.  The registered customer implies the customer registered at offered through Alcosphere.ge platform and/or services purchase through Alcosphere.ge platform  according to these Terms and Conditions possessing personal account at Alcosphere.ge platform. 
2.8. Non-registered customer implies any customer who uses the services offered through Alcosphere.ge platform   and has not passed authorization.
2.9.  The customer’s account or account – personal account of the customer who is registered at Alcosphere.ge platform, which constitutes confidential part of  Alcosphere.ge platform and for access to which knowledge of a registered customer’s e-mail or telephone number and password is necessary.   Account may be created by the customer after registration. Account contains the information indicated by a registered customer at Alcosphere.ge platform as well as it contain various information about operations and actions fulfilled by the customer at Alcosphere.ge platform, which is delivered by a relevant registered customer or is registered/reflected automatically through Alcosphere.ge platform   (order history, invoices, etc.).     
2.10. Registration implies  going through special procedure by the customer at Alcosphere.ge platform according to the Terms and Conditions, including a relevant customer’s first name, surname, personal number, date of birth, e-mail, mobile phone number and/or account password and, after verification of the e-mail and/or mobile phone number, the customer’s personal account opening at Alcosphere.ge platform, allowing him/her possibility for authorization fulfillment at our platform.   .
2.11.  Authorization implies  Alcosphere.ge platform customer’s personal account entering by him/her according to the Terms and Conditions on the grounds of actions necessary for authorization. Authorization is special access right function to informational resources available at Alcosphere.ge platform, which is related to computer and informational security and, together with other rights and priviliges authorizes the customer to enter his/her personal account for  Alcosphere.ge platform further use as well as the customer is authorized to manage and edit the own account and data available in the account.   

2.12.  The Buyer is the customer who through Alcosphere.ge platform buys products the distant way and is a party of distant purchase contract.
2.13.  The Seller is Alcosphere.geLTD, which through Alcosphere.ge platform sells products the distant way and is a party of distant purchase contract.
2.14. Distant purchase contract  - relevant purchase terms and conditions, which regulate the distant way for products purchase purpose at Alcosphere.ge platform Alcosophere as the Seller and the customer as the Buyer, through electronic means applied purchase conditions and distant purchase contract execution.  
2.15. Product  recipient is the customer or physical person who is 18 years of age or more to whom Alcosphere.ge actually delivers the product purchased to the address indicated by the customer. . 
2.16.  The Parties are the customer and Alcosphere.ge or the buyer and the Seller jointly.
2.17. Content implies any component of  Alcosphere.ge platform, placed, located or available any graphic presentation, drawing, print, photo, image, sound, music, video material, audio material, text, logo, symbol, database, design, software, files and any and all other elements. 
2.18. Password implies combination of symbols created by a physical person when going through registration at Alcosphere.ge platform, to obtain access/usage of his/her personal account as well as to protect that from other persons and provide the own account security. 

3. The Customer’s Consents and Warranties

3.1. The Customer makes the following representations and warranties:

3.1.1. He/she is a physical person of 18 years of age or more;
3.1.2. Uses Alcosphere.ge platform and services offered through that, including products purchase through Alcosphere.ge platform for personal and non-commercial purposes only;
3.1.3. Uses Alcosphere.ge platform and products/services placed there, inter alia, fulfills orders placement and/or products purchase at the own will only, on the grounds of the own free choice and reasonable  risk, without any coercion or pressure made by Alcpsphere.ge or any third party;
3.1.4. Is fully (unrestrictedly) capable, is not under narcotic, alcohol, psychotropic or toxic preparations influence, is not affected with any mistake, fraudulence, coercion, threat or any unlawful influence and does not constitute object of violence, threat, deception, delusion or any prohibited action committed by Alcosphere. ge  or by any third party, the customer  recognizes completely contents of the own will exercising, content of these terms and conditions and associated legal results and responsibility;   
3.1.5. Is authorized to undertake and fulfill all the commitments provided for by these terms and conditions, including execution of  Alcosphere.ge platform usage agreement and distant purchase contract;
3.1.6. Any information, data and documentation represented to Alcosphere.ge platform are true, correct, lawful, actual, valid and complete. whenever required the customer will update such data and documents;  
3.1.7. Is not involved and does not participate in any illegal activities provided for by applicable laws (including money laundering, weapon trade, terrorism or any other illegal activities or action); 
3.1.8. Violation of any warranties and commitments provided for by these terms and conditions Alcosphere.ge platform committed by the customer constitutes sufficient reason to terminate Alcosphere.ge platform usage agreement and distant purchase contract  unilaterally or refusal (suspend) of the commitments fulfillment provided for by Alcosphere.ge platform usage agreement and distant purchase contract  by Alcosphere.ge.

4. The Customer’s commitments

4.1. When possessing access to Alcosphere.ge platform and/or purchasing products through Alcosphere.ge platform the customer shall:
4.1.1. Comply with applicable laws of Georgia;
4.1.2. Comply with and fulfill in good faith and properly all the requirements provided for with these terms and conditions;
4.1.3. Shall not infringe, restrict and/or obstruct Alcosphere.ge platform usage by any other person;
4.1.4. Shall not transfer deliberately, or send and/or load at Alcosphere.ge platform any data/material, containing virus, so called Trojan horse, spy programs or any other harmful program, code and/or data to Alcosphere, third parties in order to make adverse impact on computer programs, and equipment;  
4.1.5. Shall not disseminate any advertisement materials or any spurring, or encouraging electronic mail (spam), which is contrary to the applicable laws and/or makes damage to Alcosphere.ge or third parties;
4.1.6. Without Alcosphere’s prior consent in writing shall not  copy, reproduce, frame, publish, load, print, place, transfer, write down, deliver, disseminate, connect through link, connect with deep link, distribute or use in any form Alcosphere.ge platform, content of that and components, elements expressed in any form as well as shall not make the same in relation to information, including computer codes or elements, either directly or indirectly, for commercial and/or non-personal purposes in any form and kind;  
4.1.7. Shall not make any action at Alcosphere.ge platform or through that, which violates Alcosphere.ge or any third party’s copyrights, patent, trade name, firm name, intellectual property, other property or rights;  ,  ;
4.1.8. Shall not place the public way, directly or indirectly, at Alcosphere.ge platform or in its any part (also in comments, forum, groups if any)  website/social media links of competitive or similar activities fulfilling the own or any third party or related with such third party as well as shall not promote or advertise such links of the own or of third parties;
4.1.9. Shall not make damage, infringe or make any impact upon Alcosphere.ge platform, content of that and/or any network, program or system related to the platform proper operation and safety;  

4.1.10. Shall not make so called fishing, inter alia, that with Alcosphere.ge platform or its any part used as well as shall not disseminate through Alcosphere.ge platform or its any part  spam, viruses, hazardous codes or other such data, which may make damage or create any threat to Alcosphere.ge platform operation and functioning, through Alcosphere.ge platform, to other customers, third parties or their equipment, software and/or their data;          

4.1.11. Shall not make any action, which may make damage to any system, network and/or aggregate data necessary for through Alcosphere.ge platform or its any part proper functioning;
4.1.12.  Shall not fulfill non-authorized access to Alcosphere.ge platform and its customers’; computer networks, systems and/or data;
4.1.13. Shall not commit any unlawful and illegal action at Alcosphere.ge platform or  through Alcosphere.ge platform or against the platform; 

4.1.14. Notify Alcosphere.ge immediately about any circumstance(s), which may be contrary to these Terms and Conditions and/or cause violation of the commitments provided for by the Terms and Conditions;
4.1.15. From time to time when necessary update any information, data or documents necessary to execute Alcosphere.ge platform usage agreement, e.g. during the customer registration procedure or when use services through the platform, when placing orders at  Alcosphere.ge platform, access to Alcosphere.ge platform or when purchasing products through Alcosphere.ge platform;
4.1.16. Shall not place and/or disseminate at Alcosphere.ge platform or its any part or through the platform  any information, containing insulting, indecent, discriminating, slanderous or other unlawful data of any form and kind about Alcosphere.ge or any third party or contribute to and/or call to any unlawful action making or committed through these means;        
4.1.17. Shall not create incorrect presentations through any other customer, equipment or software at Alcosphere.ge platform about any other customer deliberately and unlawfully, including negative comments and evaluations placed as well as shall not make attempt to create positive opinion about himself/herself, including that made through relevant comments and evaluations; ;
4.1.18. If requested by Alcosphere.ge, represent consent in writing confirming his/her agreement  (if necessary certified the way  required with applicable laws) for these Terms and Conditions within 10 (ten) days as latest or submit such consent sent by e-mail, sifned with the electronic signature fulfilled according to applicable laws;   
4.1.19. Examine any instruction, annotation, usage/consumption rules attached to the products purchased through Alcosphere.ge platform and/or any information, description of products, recommendations, advice, instruction, instruction, annotation, product usage/safety rules placed at Alcosphere.ge platform.  Alcosphere.ge shall not be liable for the damage, which may be made to the customer or another person due to ignorance/non-fulfillment of the information contained in the product annotation, instruction, any other attached document and/or due to non-fulfillment of products acceptance, storage, safety, usage and/or consumption regulations placed at Alcosphere.ge platform. 


5. Distant purchase

5.1. Distant purchase contract execution

5.1.1. The purchase provisions and conditions  regulate purchase terms and conditions, in relation to distant purchase contract to be executed through Alcosphere.ge platform where Alcosphere.ge is the Seller and the customer is the Buyer, purchase conditions fulfilled through electronic means applied and execution of distant purchase contract.

5.1.2. The distant purchase contract
 Party – the Buyer  may be only the person who is 18 years old or more, which the customer confirms when making consent for distant purchase contract and the terms and conditions.

 5.1.3. Product placement for sale at Alcosphere.ge platform by Alcosphere.ge constitutes proposal of distant purchase contract execution.  When Alcosphere.ge makes such proposals to the customer it undertakes that in the case the customer gives consent  for the proposal    Alcosphere.ge is ready to fulfill all the commitments provided for by the distant purchase contract and sell the product of the quality provided for by the distant purchase contract for the price indicated at Alcosphere.ge platform.

5.1.4. It is deemed that customer has given consent for the proposal for distant purchase contract execution made by Alcosphere.ge upon the customer buys any product  through Alcosphere.ge platform, while Alcosphere.ge accepts such product/order value is enrolled to Alcosphere.ge bank account).  When the customer accepts the proposal made hy Alcosphere.ge he/she undertakes to fulfill the commitments provided for by purchase provisions and conditions, including those provided for by the distant purchase contract and accept the product of the quality provided for by the distant purchase contract for the price indicated at Alcosphere.ge platform.

5.1.5. Distant purchase contract is considered executed since the moment when the customer gives consent/confirms the proposal for distant purchase contract execution made by Alcosphere.ge and since then the Parties are bound automatically with the will expressed by them in the distant electronic form. 
5.1.6. The Parties will be bound to fulfill the version of the distant purchase contract. which is valid when the the distant purchase contract is executed.

5.1.7. The distant purchase contract is to be executed for a certain term and remaibns in force till the Parties fulfill properly and fully all the commitments provided for by the distant purchase contract.
5.1.8. The distant purchase contract is the integral part of Alcosphere.ge platform usage agreement and is governed by all relevant terms and conditions of  Alcosphere.ge platform usage agreement, which asre not regulated with the distant purchase contract norms.

 

5.2. Distant purchase procedure

The customer may buy products through Alcosphere.ge platform by the account registered at Alcosphere.ge platform or without such account.

5.2.1. Product purchase shall be registered through the customer’s account.

5.2.1.1. Registration and account creation

Registration at Alcosphere.ge platform and account creation shall be fulfilled with the following methods applied:
a) The customer shall indicate the own e-mail and password at Alcosphere.ge platform registration page. The customer’s e-mail indicated at Alcosphere.ge platform shall be verified to finalize the registration procedure which implies checking the customer’s e-mail correctness and authenticity through the link/code sent to the customer’s e-mail. Upon the registration procedure finalization at the customer’s e-mail the customer becomes holder of account at Alcosphere.ge platform, however to execute an order the customer shall indicate the following data at the order placement page: the customer’s first name and surname, personal number, date of birth, delivery town, address, personal telephone number and e-mail, which was indicated at the first stage of registration. 

• Alcosphere.ge is authorized to change at any time the obligatory data, which are necessary for the customer’s registration and/or authorization at Alcosphere.ge platform.
  • Despite the customer’s data indicated in the Terms and conditions for the customer’s registration and/or authorization at Alcosphere.ge platform, it is obligatory to indicate all the data and fulfill all the conditions, which are indicated as such at for the customer’s at Alcosphere.ge platform when registration/ authorization is fulfilled.
  • To ensure authorizationand safety of the account opened at Alcosphere.ge platform the password indicated by the customer when fulfilling registration shall be kept encrypted and is known by the customer only.
• The customer shall ensure that the data indicated when fulfilling registration at Alcosphere.ge platform, including his/her personal data, are true, correct and complete.
  • The customer shall state the warranty that the data indicated when fulfilling registration at Alcosphere.ge platform are his/her personal data, but not those of another person.
  • The customer may update or modufy the own data indicated at Alcosphere.ge platform through access to the own account. Please see our confidentiality policy and learn additional information how your personal data shall be collected, processed and stored. 
  • Alcosphere.ge recommends all its customers to exercise caution and abstain from disclosing his/her account password to any third party.  
  • The customer shall be solely liable for protection of the own account password confidentiality as well as for any action fulfilled through such account.
  • Alcosphere.ge shall not bear any responsibility for the damage, which may be caused to any person due to the customer’s account password disclosure to any third party by the customer.
  • Alcosphere.ge. If the customer possesses information or suspects that any threat exists or threat may occur for his/her or another customer’s account or account password safety or unlawful usage of those is fulfilled please immediately notify Alcosphere.ge about that.
  • Restoration of data necessary for the registered customer authorization at Alcosphere.ge platform shall be fulfilled by the information sent to the customer’s e-mail and/or mobile phone number at Alcosphere.ge platform, which are necessary for such data restoration or by contacting through contact/communication channels indicated in Alcosphere.ge terms and conditions. 

1. b) The customer may register at Alcosphere.ge platform through accounts of Facebook, Google or Internet service based any other social network/electronic ssystem accounts (hereinfter referred to as the social network account).

• The customer may choose from the social networks indicated at Alcosphere.ge platform registration page the desirable social network account, after which the social network chosen by him/her authorization window is opened for the customer. The customer enter the social network authorization system, upon which Alcosphere.ge platform receives automatically the customer’s following data: first name, surname, e-mail. When registering the account that way the customer shall not indicate password for social network electronic system account and on the basis of data kept there the social network customer shall register at Alcosphere.ge platform and become holder of the account at this platform.

5.2.2. Authorization

5.2.2.1. If the customer wishes to buy products through Alcosphere.ge platform as a registered customer he/she shall go through authorization.
5.2.2.2. Alcosphere.ge platform identifies the customer through unique identifiers applied, in particular, through e-mail and password.

 5.2.3. Products selection and placement to the basket

5.2.3.1. The customer may select the desirable products from those placed at Alcosphere.ge platform and presses the button “placement to basket” to place those in the virtual basket. The customer may continue product selection process or begin to purchase the products, which are already placed in the basket.
5.2.3.2. The customer may add, delete or change quantity of products already placed in his/her basket.
5.2.3.3. When the customer adds products to his/her basket no right or requirement for such products and/or to Alcosphere.ge originates. The products that are placed in the baskert are not considered reserved and they may become inaccessible for the customer at any time and/or they may be purchased by another customer.    

5.2.4. Product purchase

5.2.4.1. To purchase the products, which re placed in the basket, the customer press button “order execution”, from which he/she will be forwarded to Alcosphere.ge platform page where the customer selects and/or indicates at the own discretion (if choice possibility exists) the data, which sre necessary for products delivery first name, surname,  personal number, mobile telephone number, date of birth, street, city, delivery type, payment method), product delivery (carriage type/method and product value/order value payment desirable type/method.  To continue process of purchase for the products placed in the basket  the customer presses buttin “payment” and if stock of products desirable for the customer is available  the customer is forwarded to the payment page,   otherwise Alcosphere.ge notifies the customer about product stock absence/lack, in particular, by semding relevant notification to the customer’s e-mail and/or mobile telephone number  or sowing (placing) appropriate information . at Alcosphere.ge platform.
5.2.4.2. Alcosphere.ge is authorized to change at any time data and conditions to be indicated and/or selected by the customer for products purchase at Alcosphere.ge platform. 
5.2.4.3. Despite the conditions indicated in these Terms and Conditions, the customer shall indicate all the data and fulfill all the conditions, which are indicated as such at Alcosphere.ge platform at the time of products purchase by the customer. 
5.2.4.4. If upon products/order value is paid by the customer is detected that delivery pf all products purchased or a part of that is impossible (in particular, due to lack of stock, defective products, etc.)  Alcosphere.ge shall notify the customer about that and on the basis of agreement made with the customer and according to his/her choice, Alcosphere.ge shall deliver products according to the corrected and re-approved order or cancel such order. In the case Alcosphere.ge cancels an order or a part of that value of the order or the part cancelled/product value shall be refunded to the customer. 

5.2.5. Settlement and payment method

5.2.5.1. To finalize purchase process of the products placed in the basket the customer shall press the button “order execution”, after wich it will be forwarded to  Alcosphere.ge platform payment page where the customer shall pay value of his/her order.  If the customer wishes to finalize prodfuct purchase process he/she shall pay total price of the order placed. 
5.2.5.2. The customer shall pay value of orders by the wire transfer, the distant way, through   VISA or MASTERCARD credit or debit bank cards (hereinafter the bank card) applied. 
5.2.5.3. When indicating bank card details the customer confirms that  the bank card used when paying for the order value  such bank card is owned personally by him/her and it is not applied the unlawful way.
5.2.5.4. The customer shall complete all the boxes, which are indicated as mandatory at the payment page, otherwise payment cannot be fulfilled.
5.2.5.5. When pressing button “payment” at the payment page a relevant amount will be written off from the bank card automatically.
5.2.5.6. Besides value of relevant order, a servicing bank, separately from Alcosphere.ge may establish additional payment and fee (in particular, transfer, currency conversion and other fees) for payment made through a bank card at the payment page the distant way. Such additional fees shall be paid by the customer. Please clarify bank payment and fee issue with your bank in advance.    
5.2.5.7. The customer’s order is considered accepted by Alcosphere.ge and is binding for fulfillment by Alcosphere.ge after the customer pays total price of a relevant order and such amount is enrolled to Alcosphere.gebank account (in the case of payment transaction confirmation). . 
5.2.5.8. Notification about the customer’s order acceptance by Alcosphere.ge shall be sent to the customer’s e-mail and/or mobile telephone number indicated at Alcosphere.ge platform.  5.2.5.9. Alcosphere.ge shall transfer any amount, which is subject to payment and/or refunding to the customer on the grounds of any reason throught the bank account, which was applied by the customer when making initial payment in favord of Alcosphere.ge platform.  

In the case any problem originates when making payment please apply the contact/communication channels indicated in Alcosphere.ge Terms and Conditions.

5.2.6. Product delivery and acceptance

5.2.6.1. Delivery of any product provided for by the customer’s order shall be fulfilled by Alcosphere.ge or by its contractor, third party.

5.2.6.2. Term of delivery and delivery value for the products provided for by the customer’s order are indicated at Alcosphere.ge platform.  The customer may learn term and value of product delivery as well as if a relevant function is available at Alcosphere.ge platform the customer may choose product delivery desirable term and and/or carrier (the entity fulfilling courier services).  
5.2.6.3. Alcosphere.ge is authortized to change at any time the customer’s order delivery methods, terms and delivery value, which shall be notified to the customer before making payment for a relevant order value. 

5.2.6.4. Despite order delivery methods, terms and delivery value indicated in the terms and conditions, for the customer on the basis of each specific distant purchase contract conditions will be valid, which are deemed as such when placing order at Alcosphere.ge platform.
5.2.6.5. Alcosphere.ge may not give you warranty, however, it makes the best efforts to deliver products ordered by you within the terms indicated in the Terms and Conditions.  
5.2.6.6. Alcosphere.ge shall not be liable for product delivery term violation if such delay or delivery non-fulfillment is cased totally or partially by the circumstances, which are beyond Alcosphere.ge control.   
5.2.6.7. To identify the person who is recipient/beneficiary of the products delivered as well as define if such person is of full age and/or capable,  the person who is recipient/beneficiary of the products ordered through Alcosphere.ge platform   shall at the delivery location represent relevant identification document, otherwise Alcosphere.ge refuses to transfer products to such a person. 
5.2.6.8. If neither the customer nor the third party indicated by him/her is present at Alcosphere.ge platform when receiving products delivered to the delivery location such order shall be delivered back to Alcosphere.ge. In this case Alcosphere.ge shall store products delivered back for 72 hours since accepted them back (value of such an order shall not be refunded to the customer); after expiry of this term the customer is deprived of any right for the products provided for by this order, meanwhile Alcosphere.ge shall not refund the customer the order/products and delivery value.   
5.2.6.9. The ownership title for the products provided for by orders shall be transferred from Alcosphere.ge to the customer after the customer pays total price of the products to Alcosphere.ge.
5.2.6.10. Risk for loss, damage and/or destruction of the products provided for by orders shall be transferred from Alcosphere.ge to the customer when the products indicated at Alcosphere.ge platform are actually transferred to the customer or the third party indicated by the customer.
5.2.6.11. Before any order acceptance the customer shall visually inspect products delivered, including condition of packages, and in the case of any defect detection the customer is authorized to refuse acceptance of such order/products.

5.2.7. Order annulment

5.2.7.1. For doing thast the customer shall apply to Alcosphere.ge through contact/communications channels provided for by these Terms and Conditions.
5.2.7.2. If the customer annuls order before it is transferred to a relevant courier for further carriage, total value of such order shall be refunded to the customr, otherwise annulment of the order an issue of refunding the amount paid for that, term of the amount refunding and deduction of the order delivery valu from this amount shall be solved by Alcosphere.ge solely, which about the customer shall be notified. 

5.2.8. Description of product, product price and order value 

5.2.8.1. Description of product basic characteristics and performances and/or product usage rules are represented at Alcosphere.ge platform, at the relevant product description page.
5.2.8.2. Alcosphere.ge makes best efforts to describe properly any product placed at Alcosphere.ge platform and reflect to the greatest possible extent actual colors of product through photos applied to that.  Despite the abovementioned, Alcosphere.ge does not give warranty and, therefore shall not bear liability for description of any product placed at Alcosphere.ge platform as well as for failure to represent and/or for incomplete representation of those, its instruction, annotation, usage or consumption or safety rules  as well as Alcosphere.ge shall not bear liability for difference between color of product described at Alcosphere.ge platform and that of the product actually received by the customer, which may be caused with the customer’s computer equipment configuration or by any other reason.     

5.2.8.3. Visual characteristics of the products placed at Alcosphere.ge platform may be diferent a bit from visual appearance of the products actually delivered, therefore, such insignificant difference may not be considered as inconformity between the ordered and delivered products. 
5.2.8.4. Price of products is represented at Alcosphere.ge platform, on relevent product description pages.
5.2.8.5. If a product is subject to VAT taxation according to the applicable law price of the product indicated at Alcosphere.ge platform includes VAT. 
5.2.8.6. Price of the product placed at Alcosphere.ge platform and price, discounts and/or action offers for the same product in trade facilities owned by Alcosphere.ge or operated under its trade name may differ from each other.
5.2.8.7. Prices, promo codes, vouchers and/or discounts and/or other offers for the products placed at Alcosphere.ge platform are valid for the products only offered through Alcosphere.ge platform (if otherwise is not directly indicated at Alcosphere.ge platform).
5.2.8.8. The customer should not expect that prices, promo codes, vouchers and/or discounts and/or other offers for the products placed at Alcosphere.ge platform are available in  trade facilities owned by Alcosphere.ge or operated under its trade name (if otherwise is not directly indicated at Alcosphere.ge platform).

5.2.8.9. Alcosphere.ge makes its best efforts to ensure that value of the products and/or services placed at Alcosphere.ge platform to be indicated correctly, however, a technical  mistake may be made, in this case such wrong price is not valid when calculating value of order made at Alcosphere.ge platform, as a matter of fact the prices should be taken in consideration, which are recorded in Alcosphere.ge platform system.
5.2.8.10. If Alcosphere.ge detects any mistake in the price of products ordered by the customer and/or in another service price, including value of product delivery, Alcosphere.ge shall immediately notify the customer about that who is authorized at the own discretion re-conform the price corrected, which reflects product or another service updated correct price or the customer may annul such an order, otherwise the order will be annulled by Alcosphere.ge. 
5.2.8.11. Product delivery value (if any) and bank fee (if any) may be added to price/value of the product ordered, which makes eventual impact on total price of the order placed at Alcosphere.ge platform. 
5.2.8.12. Alcosphere.ge is authorized at the own discretion at any time modify, increase and/or cancel price of any product placed at Alcosphere.ge platform as well as value of product delivery,  promo codes, discounts, action price, vouchers, other offers or other payments to be made.
5.2.8.13. Alcosphere.ge reserves the right at the own discretion at any time cancel or terminate any product sale and/or acees to that.

6. Content and associated rights

6.1. Alcosphere.ge is authorized at any time modify, create, restrict or cancel content of Alcosphere.ge platform or any part of that.
6.2. Alcosphere.ge makes the best efforts to ensure exact, complete and updated content delivery to the customer, however, Alcosphere.ge does not give any warranty or make any promise in relation to that.
6.3. Alcosphere.ge makes the best efforts Alcosphere.ge platform to be free of any harmful content, however, it does not give any warranty that Alcosphere.ge platform usage may not cause the customer’s computer or other technical equipment damage or loss of data.
6.4. Alcosphere.ge shall not be liable for the damage, which may be incurred to the customer or any third party due to virus or other harmful or detrimental content due to access to Alcosphere.ge platform. 
6.5. Alcosphere.ge platform content, in particular, design of Alcosphere.ge platform, software set, basic programming codes are owned by Alcosphere.ge or by a relevant product and/or property manufacturer/supplier and are protected by the copyright and adjacent rights according to applicable laws of Georgia and international legislation.

7. Third parties’ links and social networks

7.1. Third parties’ websites, contents, products and/or services in the form of links (textual links, banners, channels, etc.), applications and other ones, which are beyond Alcosphere.ge control and establish connection with such third parties’ websites, applications and/or software, may be accessible through Alcosphere.ge platform.  
7.2. The customer may use third parties’ information and/or link under the own  risk only, and Alcosphere.ge does not undertake any commitment and shall not be liable for such third parties’ information and/or websites content, correctness in relation to usage or accessibility, in particular, for content of third parties’ websites related to  Alcosphere.ge platform and for the damage, which may be incurred to the customer or the third party in case of usage of those.
7.3. Liability for notifications, comments or any other information placed at Alcosphere.ge platform or those created, sent and/or received through  Alcosphere.ge platform as well as liability for
any information content and for any action fulfilled in relation with such information shall not be imposed on Alcosphere.ge, but on a relevant person individually and personally. 

7.4. The Terms and Conditions, besides regulation of other issues, regulate the customer’s statement, comments, evaluations, reviews, notes or other information placed at Alcosphere.ge platform  or any websites related to the platform, in (further) applications, software, Alcosphere.ge Facebook, Twitter, Youtube or any other social network official sites as well as such placement conditions shall conform to these Terms and Conditions.

 

8. Liability

8.1. Violation of the commitments provided for by the these Terms and Conditions shall cause liability provided for by these Terms and Conditions and applicable laws of Georgia.
8.2. The Parties undertake to compensate each other the damage caused with the conditions full or partial non-fulfillment or improper fulfillment according to requirements provided for by the applicable laws and/or by these Terms and Conditions. 
8.3. Alcosphere.ge shall not be liable before the customer or any third party for the damage, which is originated or is in any form related to usage of the link placed at Alcosphere.ge platform  by the customer.
8.4. Alcosphere.ge company shall not be liable for content of other website link, where to the customer  is forwarded from Alcosphere.ge platform
8.5. Alcosphere.ge shall not be liable for the damage caused with impossibility to use Alcosphere.ge platform as well as with restriction or interruption of access to Alcosphere.ge platform.
8.6. Alcosphere.ge does not give any warranty in relation to Alcosphere.ge platform service, product and/or quality, except those in relation to conformity established by requirements of the applicable laws of Georgia.
8.7. Alcosphere.ge shall not be liable for correctness and validity of information represented by the customer when going through registration at Alcosphere.ge platform.
8.8. Alcosphere.ge takes all reasonable measures to protect safety of the customers’ data, however, despite the abovementioned, Alcosphere.ge shall not be liable for the cases when third parties make infringement to obtain unauthorized access to other customers’ data. 

9. Applicable laws and disputes

9.1. The Terms and Conditions are regulated and interpreted according to applicable laws of Georgia.
9.2. Any dispute or discrepancy arisen in relation to the Terms and Conditions or their interpretation shall be solved by the Parties’ negotiations. 
9.3. If the Parties fail to make agreement within 30 (thirty)  calendar days either Party is authorized to apply to a Georgian common court to solve a dispute.
9.4. For a purpose of any dispute solution through the Parties’ negotiations or through legal proceedings any and all notifications, letters or other documentation will be considered delivered to Alcosphere.ge if they are sent to the following address: Georgia, Tbilisi
 
10. Force majeure

10.1. Either Party will bear liability for total or partial violation of their commitments provided for by the Terms and Conditions, if that is caused with force majeure (irresistible forces) circumstances direct and inescapable impact. 
10.2. For purposes of the Terms and Conditions force majeure circumstances are considered the events, which begin after the Terms and Conditions come in force and are  irresistible and unforeseen for the Parties and are beyond the Parties’ reasonable control such as: Alcosphere.ge technical system disconnection,  data delivery impossibility or interruption through Alcosphere.ge platform, communication terminal or telecommunication equipment breakdown, electricity and/or internet service interruption,   GPRS disconnection, cyber attack committed against Alcosphere.ge platform, updates of Alcosphere.ge platform, Alcosphere.ge contractor third parties’ logistics/activities operations suspension or interruption,  natural disasters, war and military actions, prohibitions and restrictions imposed by governmental, state, local and/or other administrative authorities, pandemic and/or epidemic spread or any and all other similar events and circumstances.
10.3. The Party because of which fulfillment of the commitments provided for by the Terms and Conditions is impossible shall notify the other Party about force majeure circumstances start and end within a reasonable term. 
10.4. Fulfillment of the commitments provided for by the Terms and Conditions by the Parties shall be postponed for a term during which force majeure circumstances continue.

11. Communication

11.1. To ensure fulfillment of the commitments provided for by the Terms and Conditions by the Parties as well as to exercise and protect the Parties’ rights and interests under these Terms and Conditions and pursuant to the applicable laws,  in particular, in relation to all the issues regulated with the Terms and Conditions communication between the customer and Alcosphere.ge will be fulfilled mainly through e-mail, to e-mail address delivered by the customer to  Alcosphere.ge platform and/or to e-mail represented to Alcosphere.ge  and/or to mobile telephone number, by sending e-mail letters and/or short messages  however, Alcosphere.ge is authorized to use oral phone connection applied to the customer’s mobile phone number as well as push notification may be delivered to the customer from Alcosphere.ge platform, communication may be sent to the customer’s social network chat and other communication channels, which are indicated and which for the customer states his/her consent.
11.2. Communication between the customer and Alcosphere.ge shall be fulfilled according to the confidentiality policy protected as well as according to personal data processing lawful purposes and basis.   

12. The account annulment and restriction of access to the account

12.1. The customer is authorized to cancel his/her account at Alcosphere.ge platform at any time.  To cancel the account the customer shall contact with Alcosphere.ge through the contact/communication channels indicated in the Terms and Conditions. 
12.2. To annul the account the customer shall pass the identification procedure indicated by Alcosphere.ge and confirm that he/she is holder of this account.
12.3. Alcosphere.ge is authorized unilaterally, without prior notification sent to the customer, terminate or restrict the customer’s right to use Alcosphere.ge platform and/or services if Alcosphere.ge considers that requirements established by the Terms and Conditions and/or by applicable laws of Georgia are violated.
12.4. If Alcosphere.ge annuls the customer’s account or restricts usage of that because the customer has violated the Terms and Conditions and/or by applicable laws of Georgia the customer is not authorized behalf of the own or other person’s name create a new account.

13. Other conditions

13.1. Alcosphere.ge platform usage agreement is valid for permanent term.
13.2. Headings of articles applied in the Terms and Conditions are used for convenience only and do not determine and/or influence upon some or another article content and interpretation. 
13.3. If any part or provision of the Terms and Conditions is cancelled, recognized nil and void or terminated, this part or provision may not be applied anymore, however, it does not influence upon validity of other parts/provisions. 
13.4. Without Alcosphere.ge consent in writing the customer is not authorized to transfer a third party rights and liabilities provided for by the Terms and Conditions. 
13.5. Alcosphere.ge is authorized to transfer a third party rights and liabilities provided for by the Terms and Conditions without the customer’s consent in writing provided such a third party undertakes before the customer the same extent or better warranties and bears higher liability.
13.6. If Alcosphere.ge abstains from or postpones any right or payment provided for by the Terms and Conditions that does not imply waiver of such right or payment and shall not influence upon such right exercising or payment acceptance by Alcosphere.ge in future.
